AGREEMENT FOR DIRECT PLACEMENT


This agreement will specify the terms and conditions between Candidate and Choice Eldercare or its representatives for the purpose of providing candidates, with the end result of filling a professional position of client through the efforts of Choice Eldercare, a private employment agency. For this service, client will pay Choice Eldercare a mutually agreed upon fee.

RESPONSIBILITIES OF Choice Eldercare:
• "Due diligence" in efforts to advertise, find, screen, interview, and present qualified candidates, relative to agreed upon criteria, to the client for consideration. This includes reference checks, and all relevant educational background and experience; all of which will be presented to client.
• Maintain communication with client on all relevant activities in the search and presentation of candidates.
• After acceptance, do all necessary paperwork for candidate to work legally in client's location. If foreign trained, this includes all immigration, credentialing, and licensing.
• Find a new employment to the candidate if said candidate leaves for any reason or is terminated for cause within the first 90 days of employment; provided client notifies Choice Eldercare, in writing, of the facts of the termination within 5 business days after the termination, and the fee is paid in full within 15 days of beginning work. (Insufficient work will not be considered cause.) . No free placement is in available after 90 days and candidate will have to pay regular fees.
• Invoice client for agreed upon fees immediately after placement.

RESPONSIBILITIES OF CANDIDATE:
• Provide Choice Eldercare all necessary criteria of position and condition of the care recipient.
• "Due diligence" in efforts to interview and attract acceptable candidates presented by Choice Eldercare, in a timely manner.
• Maintain timely communication with Choice Eldercare on all relevant activities, especially feedback from interviews, presented materials, etc.
• If candidate accepts position; provide written offer and agreement between client and candidate to Choice Eldercare for licensing, and immigration if necessary.
• Pay fees specified bellow starting the beginning of the employment

MUTUAL COVENANTS:
• Candidate agrees to allow Choice Eldercare or it’s agents and affiliates to do extensive check of Candidate’s background, reference, previous employment and criminal records.
• Candidates are referred in confidence. Subsequent referral to any third party where candidate is hired will cause client and third party to be responsible for payment of fee to Choice Eldercare.
• All fees are on a contingency basis, and payable only when client hires a candidate referred by Choice Eldercare. Fees are payable should client (or an affiliate) hire a referred candidate within one year from the most recent communication concerning the candidate.

LEGAL:
• This agreement shall be governed according to the laws of the State of New Jersey, and client and Choice Eldercare are subject to the jurisdiction of the Bergen County, State New Jersey
• Each party shall indemnify and other for all loss arising from a party’s failure to comply with all laws, rules or regulations applicable to the performance of services by the Therapist for the Client;
• If any provision in this agreement is found invalid, this does not affect any other portion of the agreement.
• This agreement is the sole agreement, and supersedes all other negotiations and agreements.
• Waiver of any provision contained herein does not affect the validity of any other provision of this agreement.

Both parties agree that this agreement starts on the first day of employment and shall remain in effect until employment is terminated. Any untimely termination will be subject to conditions noted under "Mutual Covenants" and either party must provide 30 days written notice.
